Terms of Service

These terms govern your access to and use of Digital Vallance Technologies (DVT) platforms, SSD hosting environments, digital marketing management, and corporate AI integrations.

1. Acceptance of Terms

By accessing our websites, contracting DVT digital services, or configuring DVT automated software tools, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must discontinue service usage immediately.

2. Scope of Services & Deliverables

Digital Vallance Technologies provides professional digital marketing and technology solutions, including but not limited to:

  • Managed Campaigns: Targeted advertising strategy, media placement, and cross-channel optimization.
  • Local GMB SEO: Google Business Profile optimization, local map pack positioning, and citation audit management.
  • AI Integrations: Deployment of Conversation AI, Social AI, and Review AI automated communication infrastructure.
  • Corporate SSD Hosting: Managed WordPress environment hosting, automated backup maintenance, and security monitoring.

3. Billing, Subscriptions & Payments

Services provided on a recurring retainer or monthly subscription basis are billed in advance on the designated billing cycle date.

  • Payment Authorization: Client authorizes DVT to process recurring credit card or ACH payments for active retainers and hosting services.
  • Late Fees & Inactive Accounts: Invoices overdue by more than 15 calendar days may incur a 5% late fee or temporary suspension of hosted infrastructure.

4. Intellectual Property Rights

Upon full payment of invoice fees, clients retain ownership of custom domain assets, final branded artwork, and unique website copy produced specifically for their campaign. DVT retains full ownership of underlying proprietary software, AI engine scripts, code module design frameworks, and pre-built operational templates.

5. AI Software & Automation Rules

Clients utilizing DVT Conversation AI, Review AI, or Social AI integrations agree to adhere to acceptable messaging standards:

Compliance & Spam Policy

AI interaction pipelines must not be utilized for unsolicited commercial spam, fraudulent lead collection, TCPA violation messaging, or deceptive public review generation. Violation results in immediate service termination.

6. Corporate SSD Hosting & SLA

DVT targets a 99.9% uptime availability for managed WordPress sites on our Corporate SSD infrastructure. Scheduled maintenance windows occur during low-traffic periods and are exempt from SLA downtime calculations.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Digital Vallance Technologies shall not be liable for indirect, incidental, or consequential damages, lost profits, or data loss resulting from third-party advertising algorithm updates, domain registry outages, or client configuration errors.

8. Termination & Cancellation

Either party may terminate active recurring services by providing a 30-day written notice prior to the next billing cycle. Account balances must be settled in full prior to domain transfer or site export handoff.

9. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the United States. Any formal legal disputes shall be resolved through binding arbitration prior to litigation.
